The Dangote Petroleum Refinery has raised $2.5 billion through a private placement as it prepares for its planned initial public offering (IPO), according to Devakumar Edwin, vice-president of the Dangote Group.
Reuters reported on Friday that the fundraising forms part of the company's strategy to strengthen its financing structure and support its next phase of growth.
The capital is expected to finance the refinery's expansion as it ramps up production and deepens its footprint in Nigeria's domestic fuel market while expanding exports across Africa and beyond.
In June, sources familiar with the transaction told Reuters that the refinery was offering three billion ordinary shares at 35 cents per share, with investor demand already exceeding $2 billion before the close of the offer.
Investors were required to subscribe to a minimum of one million shares, valued at $350,000, with additional purchases permitted in blocks of 500,000 shares. The shares are also subject to a 365-day lock-up period, according to the report.
The private placement comes ahead of the refinery's anticipated stock market listing later this year.
Speaking in October 2025, President of the Dangote Group, Aliko Dangote, disclosed that the company could sell up to a 10 per cent stake in the refinery during the IPO, a transaction then estimated to be worth about $5 billion.
Earlier in May, Dangote had indicated that the refinery was targeting about $2 billion through the private placement but noted that the final allocation would depend on investor demand.
"We'll see what we can allocate to them," he said at the time.
Also in May, Femi Otedola, chairman of First HoldCo, announced plans to invest $100 million in the refinery, underscoring strong investor confidence in what is regarded as Africa's largest single-train petroleum refinery.
